These Terms of Use ("Terms", "Agreement") constitute an enforceable legal agreement between you (whether an individual or legal entity, referred to as "Client", "User", or "You") and Spyber Polymath ("Brand", "we", "us", or "our", founded and directed by Aman Anil, operating from Bengaluru, Karnataka, India).

Applicability:Governs all visits to spyberpolymath.com, affiliated subdomains, client portals, staging sandboxes, proprietary software distributions, and commercial technology engagements.

Electronic Acceptance:Navigating our platforms, requesting engineering proposals, executing statement of work (SOW) documents, or interacting with our API endpoints constitutes explicit acceptance of these Terms without modification.

Authority:If acting on behalf of a corporation, partnership, or enterprise, you represent and warrant that you possess full legal authority to bind that entity to these provisions.
If you do not agree with any provision contained herein, you must immediately terminate access to our systems and refrain from utilizing our services.
SECTION 02
2. Technical Services & Engineering Scope
Spyber Polymath provides high-performance multidisciplinary technology solutions. Engagement parameters and technical milestones are defined under respective project specifications:

Full-Stack Development:Custom design and engineering of responsive web applications, progressive web apps (PWAs), Next.js and React frontends, Django and Node.js backend architectures, and database modeling.
•
Cloud VPS Infrastructure & DevSecOps:Provisioning, deployment, hardening, and management of Linux Virtual Private Servers (VPS), automated CI/CD deployment pipelines, containerization (Docker), Nginx reverse proxies, and TLS encryption.
•
Offensive Security & Audits:Vulnerability assessments, web application penetration testing, OWASP Top 10 compliance audits, and server attack-surface reduction conducted strictly under mutually agreed Rules of Engagement (ROE).
•
Applied AI & Systems Automation:Development of autonomous AI workflows, LLM orchestration, task automation scripts, data pipelines, and storytelling technologies.
Specific project deliverables, milestones, payment schedules, and acceptance criteria are governed by project-specific Statements of Work (SOW) which incorporate these Terms by reference.
SECTION 03
3. User Credentials & Access Governance
Certain sections of our infrastructure, staging environments, and client management repositories require authenticated credentials:

Confidentiality of Credentials:You are solely responsible for maintaining the confidentiality of administrative passwords, SSH keys, API authorization tokens, and staging credentials issued to you.
•
Zero Credential Sharing:Sharing individual authentication keys or administrative tokens across unauthorized third parties is strictly prohibited and constitutes grounds for immediate revocation of system access.
•
Incident Notification:You agree to notify Spyber Polymath immediately at security@spyberpolymath.com upon discovering or suspecting any unauthorized use of your credentials or breach of security.
SECTION 04
4. Prohibited System Activities
You agree to interact with our systems in full compliance with applicable local, national, and international laws. You shall not:
•
Unauthorized Testing:Execute automated penetration testing, vulnerability scans, fuzzing, or stress-testing against spyberpolymath.com or our client production environments without a signed Rules of Engagement agreement.
•
Infrastructure Disruption:Launch distributed denial-of-service (DDoS) attacks, flood bandwidth, introduce malicious code, worms, ransomware, or attempt to exploit buffer overflows or deserialization vulnerabilities.
•
Reverse Engineering:Decompile, disassemble, reverse engineer, or attempt to derive underlying source algorithms, training weights, or proprietary data models from our compiled software unless expressly permitted by applicable law.
•
Automated Scraping:Deploy automated scrapers, web spiders, or data extraction scripts that overwhelm our origin servers or harvest intellectual property without prior written consent.
SECTION 05
5. Financial Engagements & Milestone Billing
Financial transactions relating to our engineering deliverables, consulting hours, and managed server contracts are governed by standard commercial terms:

Invoicing & Payment Schedules:Engineering engagements operate under structured milestone payments (e.g., discovery, architecture review, beta release, production handover) or upfront retainer schedules as specified in the proposal.
•
Taxes & Currency:All fees are invoiced in the agreed currency (INR, USD, or EUR) and are exclusive of applicable GST, VAT, or international withholding taxes unless expressly stated.
•
Late Payment Remittances:Invoices overdue by more than fourteen (14) calendar days may incur an administrative late fee of 1.5% per month or the statutory maximum, and may result in temporary suspension of active infrastructure management.
SECTION 06
6. Intellectual Property & Work Product Assignment
Rights in digital assets, source code repositories, and proprietary technology are allocated as follows:
•
Client Custom Deliverables:Upon receipt of full and final payment for an agreed project milestone, all bespoke source code, graphics, and architectural documentation crafted specifically for the Client shall be assigned to the Client.
•
Pre-Existing IP & Frameworks:Spyber Polymath retains exclusive ownership over all pre-existing libraries, utility scripts, boilerplate scaffolding, CI/CD scripts, and system architectures developed independently of client engagements.
•
Brand Identity:The Spyber Polymath name, stylized logos, typography, visual themes, and brand assets remain the exclusive intellectual property of Aman Anil and Spyber Polymath.
SECTION 07
7. Third-Party Services & Cloud Infrastructure
Our platforms and applications integrate with, or are deployed upon, third-party cloud infrastructure providers (e.g., AWS, DigitalOcean, Cloudflare, GitHub, Vercel, Stripe, Resend):

Upstream Reliability:While Spyber Polymath implements high-availability configurations, we are not liable for service outages, fiber severances, regional DNS blackouts, or terms-of-service alterations initiated by upstream cloud providers.
•
External Hyperlinks:Our website may link to third-party technical documentation, research papers, or open-source repositories. We do not endorse and are not responsible for third-party privacy practices or content.
SECTION 08
8. Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN A FORMALLY SIGNED MASTER SERVICES AGREEMENT, ALL SERVICES, CODE DELIVERABLES, OPEN-SOURCE REPOSITORIES, AND WEBSITE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

No Implied Warranties:WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Continuous Operation:WE DO NOT GUARANTEE THAT THE WEBSITE OR DELIVERABLES WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR FREE OF LATENT CYBERSECURITY RISKS, ALTHOUGH WE ADHERE RIGIDLY TO INDUSTRY HARDENING PRACTICES.

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW IN BENGALURU, KARNATAKA, INDIA, NEITHER SPYBER POLYMATH NOR AMAN ANIL SHALL BE LIABLE FOR:

Consequential Damages:ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA CORRUPTION, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR SERVER HARDWARE FAILURE.
•
Liability Cap:IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO SPYBER POLYMATH IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

10. Indemnification
You agree to defend, indemnify, and hold harmless Spyber Polymath, its founder, contractors, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of:

Your breach of these Terms of Use or applicable law.
•
Any content, data, or credentials supplied by you to our engineering environments.
•
Unauthorized misuse or malicious exploitation of code or environments provided to you.
SECTION 011
11. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the substantive laws of India, without giving effect to conflict of laws principles.

Exclusive Jurisdiction:The parties irrevocably submit to the exclusive jurisdiction of the competent courts situated in Bengaluru, Karnataka, India.
•
Arbitration Protocol:Any dispute, controversy, or claim shall first be submitted to good-faith mediation. Failing resolution within thirty (30) days, it shall be referred to and finally resolved by sole arbitration under the Indian Arbitration and Conciliation Act, 1996.

We reserve the right to revise, update, or replace these Terms of Use at our sole discretion to reflect changes in regulatory statutes or technical service models.
